WEBSITE TERMS AND CONDITIONS Effective Date: 2026-08-18 These Website Terms and Conditions (the "Terms") are entered into by and between Piney Woods Construction LLC, a Texas limited liability company with a principal business address at 1004 W HIGH ST, GRAND SALINE, TX 75140-1012, USA ("Company"), and each person or entity that accesses or uses the website located at pineywoodsconstruction.com and any related webpages, portals, or online services (collectively, the "Site") ("User"). By accessing or using the Site, the User agrees to be bound by these Terms. If the User does not agree to these Terms, the User must not access or use the Site. 1. BACKGROUND AND PURPOSE The Company operates the Site in connection with its construction-related business and related informational, communication, and service offerings. These Terms are intended to set forth the conditions governing access to and use of the Site, establish the respective rights and obligations of the Company and Users, and protect the Company's content, systems, and business operations. 2. DEFINITIONS "Company Content" means all text, images, graphics, logos, designs, layouts, documents, downloads, audio, video, software, and other materials made available on or through the Site by the Company. "User Content" means any information, files, messages, reviews, submissions, or other materials submitted by a User to the Site or to the Company through the Site. "Applicable Law" means all federal, state, and local laws, rules, regulations, and ordinances applicable to these Terms, the Site, or the parties. 3. ELIGIBILITY AND ACCEPTANCE By using the Site, the User represents and warrants that the User has the legal capacity to enter into a binding agreement under Applicable Law. If the User is using the Site on behalf of a business or other legal entity, the User represents and warrants that the User has authority to bind that entity to these Terms, in which case "User" includes that entity. 4. SCOPE OF WEBSITE USE Subject to these Terms, the Company grants the User a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful business or informational purposes related to the Company's services, which may include Home building, home repair, and residential construction services.. The User may not use the Site for any unlawful purpose, to interfere with Site operations, to attempt unauthorized access to any system or data, or in any manner that could damage, disable, overburden, or impair the Site. 5. USER CONDUCT The User shall not: (a) copy, reproduce, distribute, republish, scrape, or exploit Company Content except as expressly permitted by these Terms; (b) upload or transmit any virus, malware, malicious code, or harmful material; (c) use any robot, spider, crawler, or automated means to access the Site without the Company's prior written consent, except to the extent permitted by standard search engine practices; (d) submit false, misleading, or infringing information; or (e) violate any security feature or circumvent any access restrictions implemented by the Company. 6. USER SUBMISSIONS AND COMMUNICATIONS If the User submits inquiries, forms, project details, feedback, testimonials, photos, or other User Content through the Site, the User represents and warrants that such User Content is accurate and that the User has all necessary rights to provide it. The User grants the Company a non-exclusive, royalty-free, worldwide license to use, reproduce, transmit, and display such User Content solely as reasonably necessary to respond to inquiries, provide requested services, operate the Site, maintain business records, and enforce these Terms. 7. FEES, QUOTES, AND PAYMENT TERMS Access to the Site itself is generally provided without charge unless the Company clearly states otherwise on the Site. Any pricing, estimates, quotes, proposals, or service descriptions presented on the Site are for general informational purposes unless expressly identified as binding in a separate written agreement; actual project scope, pricing, scheduling, and payment obligations shall be governed by an executed contract, accepted proposal, invoice, or other written arrangement between the Company and the applicable customer. 8. INTELLECTUAL PROPERTY RIGHTS The Site and all Company Content, including all copyrights, trademarks, trade dress, service marks, and other intellectual property rights therein, are and shall remain the sole property of the Company or its licensors. Except for the limited right to use the Site as expressly stated in these Terms, no right, title, or interest in or to the Site or any Company Content is transferred to the User, whether by implication, estoppel, or otherwise. 9. CONFIDENTIALITY A User may receive or submit non-public business, project, pricing, or operational information through the Site or related communications. Each party receiving non-public information from the other party shall use reasonable measures to protect such information from unauthorized use or disclosure and shall use it only for legitimate business, inquiry, or contractual purposes; however, confidentiality obligations do not apply to information that is publicly available without breach, already known without restriction, independently developed, or lawfully obtained from a third party without a duty of confidentiality. 10. REPRESENTATIONS AND WARRANTIES Each User represents and warrants that the User's access to and use of the Site will comply with these Terms and Applicable Law. To the maximum extent permitted by Applicable Law, the Site is provided on an "as is" and "as available" basis, and the Company disclaims all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, non infringement, and that the Site will be uninterrupted, secure, accurate, or error-free. 11. INDEMNIFICATION The User shall defend, indemnify, and hold harmless the Company, its members, managers, officers, employees, agents, affiliates, successors, and assigns from and against any third-party claims, demands, actions, losses, liabilities, damages, judgments, settlements, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to the User's breach of these Terms, User Content, misuse of the Site, or violation of Applicable Law or the rights of any third party. The Company may participate in the defense of any such matter with counsel of its choosing at its own expense. 12. LIMITATION OF LIABILITY To the fullest extent permitted by Applicable Law, the Company shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business interruption, arising out of or relating to the Site or these Terms, even if advised of the possibility of such damages. To the fullest extent permitted by Applicable Law, the aggregate liability of the Company for all claims arising out of or relating to the Site or these Terms shall not exceed the greater of (a) the amount, if any, paid by the User to the Company specifically for access to the Site during the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100.00). 13. THIRD-PARTY LINKS AND RESOURCES The Site may contain links to third-party websites, tools, maps, payment processors, social media pages, or other resources for convenience only. The Company does not control and is not responsible for the content, policies, availability, or practices of third-party resources, and access to such resources is at the User's own risk and subject to the terms of the applicable third party. 14. PRIVACY AND ELECTRONIC COMMUNICATIONS Use of the Site may involve the collection and use of certain information as described in the Company's separate privacy disclosures, if any, posted on the Site. By submitting information or contacting the Company through the Site, the User consents to receive communications electronically, including responses to inquiries, service-related notices, and administrative communications, unless Applicable Law requires a different method. 15. SUSPENSION, TERMINATION, AND SURVIVAL The Company may suspend, restrict, or terminate a User's access to the Site at any time, with or without notice, if the Company reasonably believes the User has violated these Terms, created security or legal risk, interfered with Site operations, or engaged in conduct harmful to the Company or others. The User may discontinue use of the Site at any time; Sections concerning intellectual property, confidentiality, disclaimers, indemnification, limitations of liability, governing law, dispute procedures, and any provisions that by their nature should survive shall survive any termination or expiration of these Terms. 16. FORCE MAJEURE The Company shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, weather events, natural disasters, labor disputes, utility failures, internet or telecommunications outages, governmental actions, civil unrest, epidemics, supply chain disruptions, or cyber incidents not caused by the Company's willful misconduct. The affected obligations shall be suspended only for the duration of the force majeure event and resumed as soon as reasonably practicable. 17. GOVERNING LAW AND VENUE These Terms and any dispute arising out of or relating to the Site or these Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of laws principles that would require application of another jurisdiction's laws. Subject to any non-waivable rights under Applicable Law, the state and federal courts located in Texas shall have exclusive jurisdiction over any action arising out of or relating to these Terms, and each User consents to personal jurisdiction and venue in such courts. 18. NOTICES Notices to the Company under these Terms shall be sent to Piney Woods Construction LLC at 1004 W HIGH ST, GRAND SALINE, TX 75140-1012, USA, with a copy by email to info@pineywoodsconstruction.com if email notice is permitted by the Company. Notices to a User may be provided by posting on the Site, by email to any address provided by the User, or by other reasonable means permitted by Applicable Law, and shall be effective upon posting or transmission unless otherwise required by law. 19. ASSIGNMENT The User may not assign, delegate, or transfer any rights or obligations under these Terms without the Company's prior written consent. The Company may assign these Terms, in whole or in part, to an affiliate, successor in interest, purchaser of assets, or in connection with a merger, consolidation, reorganization, or sale of the business or the Site. 20. AMENDMENT AND WAIVER The Company may update or modify these Terms from time to time by posting revised Terms on the Site and updating the effective date, and continued use of the Site after the revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by Applicable Law. No waiver of any provision of these Terms shall be effective unless made in writing by the Company, and no waiver of any breach or default shall be deemed a waiver of any prior or subsequent breach or default. 21. SEVERABILITY If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted, and the remaining provisions shall remain in full force and effect. The parties intend that any invalid or unenforceable provision be construed or modified, if possible, to effect its original purpose in a lawful manner. 22. ENTIRE AGREEMENT These Terms, together with any policies or legal notices expressly incorporated by reference and posted on the Site, constitute the entire agreement between the Company and the User regarding the User's access to and use of the Site and supersede all prior or contemporaneous understandings concerning that subject matter. In the event of a conflict between these Terms and a separately executed written agreement between the Company and a specific customer, the separately executed written agreement shall control solely with respect to the subject matter addressed therein. 23. SIGNATURES AND ACKNOWLEDGMENT These Terms are intended for acceptance by electronic conduct, including use of the Site after publication of the Terms, rather than by manual signature. If the Company elects to maintain an internal signature copy for records or operational use, the following signature block may be used without limiting the enforceability of electronic acceptance where permitted by law.
